You and Bailey Carrier Capital intend that the Liquidated Damages constitute compensation, and not a penalty. You acknowledge and agree that the harm to Bailey Carrier Capital caused by a breach of the obligations in this paragraph would be very difficult to accurately estimate, and that the Liquidated Damages are a reasonable estimate of the anticipated or actual harm that might arise from a breach by you. Your payment of the Liquidated Damages constitutes your liability to Bailey Carrier Capital.
TRADEMARKS
The trademarks, logos, and service marks displayed on the Site (collectively the “Trademarks”) are our registered and unregistered trademarks or those of our affiliates. Under no circumstances may you alter, modify, or change the Trademarks. Nothing contained on the Site should be construed as granting any license or right to use any Trademark without our express permission. Any rights not expressly granted herein are reserved.

Sole and exclusive jurisdiction and venue for any action or proceeding arising out of or related to this terms and conditions agreement shall be an appropriate state or federal court located in Louisville, Jefferson County in the Commonwealth of Kentucky.

When you applied for a loan through Bailey Carrier Capital and authorized Bailey Carrier Capital to seek credit on your behalf, you agreed to receive updates to Bailey Carrier Capital’s Privacy Notice and Terms via posting on Bailey Carrier Capital’s website. By clicking “I Agree” when you applied for a loan through Bailey Carrier Capital, you also provided your electronic signature, expressing your agreement and intent to accept the terms and conditions of applying for a loan through Bailey Carrier Capital and this Privacy Notice and Terms.
